These Terms of Service (“Terms”) govern your use of the XYZFile mobile application (“XYZFile”, “the App”, “we”, “us”, or “our”).

By downloading, installing, accessing, or using XYZFile, you agree to these Terms. If you do not agree, do not use the App.
1. The App
XYZFile is a local file management app for importing, browsing, searching, previewing, organizing, sharing, playing, compressing, and extracting files on supported iOS devices. Supported content may include photos, videos, audio files, PDFs, office documents, archives, folders, LMR files, and other file types supported by iOS and the App.
2. Eligibility
You may use XYZFile only if you can form a binding agreement under applicable law and are not prohibited from using the App. If you use XYZFile on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Local Files and Your Content
You retain ownership of files and content you import into, create with, or manage through XYZFile (“Your Content”). You are responsible for Your Content and for ensuring that you have all rights needed to store, copy, modify, compress, extract, preview, play, share, or otherwise use it.
Based on the current app implementation, XYZFile processes Your Content locally on your device and does not upload Your Content to our servers. Your Content may leave your device if you choose to share, export, back up, sync, or open it using iOS, Apple services, third-party apps, or other services.
4. Permissions
XYZFile may request access to device features such as files, photos, camera, microphone, media playback, or local storage when needed for features you choose to use. You can deny or revoke permissions in iOS Settings, but some features may stop working if required permissions are unavailable.
5. Acceptable Use
You agree not to use XYZFile to:
- Violate any law or regulation.
- Infringe or misappropriate intellectual property, privacy, publicity, or other rights.
- Store, create, distribute, or share unlawful, harmful, abusive, or exploitative content.
- Circumvent security, access controls, digital rights management, or technical restrictions.
- Interfere with the operation, security, or integrity of XYZFile, iOS, Apple services, or third-party services.
- Use the App to distribute malware, malicious archives, deceptive files, or other harmful material.
6. Sharing and Third-Party Services
XYZFile may let you share files through iOS system features or open files in other apps. We are not responsible for third-party apps, services, websites, share extensions, cloud storage providers, or recipients you choose to use. Their terms and privacy policies apply to your use of those services.
7. Backups and Data Loss
XYZFile is a file management tool, but it is not a backup service. You are responsible for maintaining your own backups of important files. File operations such as delete, rename, move, duplicate, compress, and extract may change or remove files. Use care when managing important content.
We are not responsible for loss of files or data caused by user actions, device issues, iOS behavior, storage failure, backup settings, third-party apps, unsupported file formats, archive corruption, password loss, or other events outside our control.
8. Archive and Password Features
XYZFile may support archive creation, extraction, inspection, or password-protected ZIP workflows. You are responsible for remembering archive passwords and for ensuring you have the right to access and extract archived content. We cannot recover lost archive passwords.
9. Updates and Changes
We may update, modify, suspend, or discontinue all or part of XYZFile at any time. Updates may add, change, or remove features. You may need to install updates to continue using some features.
10. Fees and Purchases
Based on the current app implementation, XYZFile does not include subscriptions, in-app purchases, or paid account features. If future versions add paid features, the applicable price, billing, renewal, cancellation, and refund terms will be disclosed before purchase and will be handled according to the rules of the platform where you purchase them.
11. App Store Terms
If you downloaded XYZFile from the Apple App Store, your use of the App is also subject to Apple’s applicable terms, including the Apple Media Services Terms and Conditions and the Apple Standard End User License Agreement, unless XYZFile provides a valid custom EULA. If there is a conflict between these Terms and Apple’s required terms, Apple’s required terms control to the extent required by Apple.
Apple is not responsible for providing maintenance or support services for XYZFile, except as required by applicable law. Apple and its subsidiaries are third-party beneficiaries of these Terms for App Store distribution and may enforce these Terms against you as a third-party beneficiary.
12. Intellectual Property
XYZFile, including its software, design, trademarks, logos, and other materials, is owned by XYZTech or its licensors and is protected by intellectual property laws. These Terms do not transfer ownership of XYZFile to you.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use XYZFile for personal or internal business purposes on devices you own or control, as permitted by Apple and applicable law.
13. Open-Source Components
XYZFile includes third-party open-source software components. Those components are provided under their own licenses. To the extent required by those licenses, the open-source license terms apply to the corresponding components instead of these Terms.
14. Privacy
Your use of XYZFile is also governed by the XYZFile Privacy Policy. Please review it to understand how the App handles information.
15. Disclaimers
To the maximum extent permitted by law, XYZFile is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that XYZFile will be uninterrupted, error-free, secure, compatible with every file type, or able to recover corrupted, deleted, encrypted, or unsupported files.
Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
16. Limitation of Liability
To the maximum extent permitted by law, XYZTech and its affiliates, directors, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, files, goodwill, or business opportunities.
To the maximum extent permitted by law, our total liability for any claim relating to XYZFile or these Terms will not exceed the greater of (a) the amount you paid to use XYZFile in the 12 months before the claim arose or (b) USD $50.
Some jurisdictions do not allow limitations of liability, so some of the above may not apply to you.
17. Indemnity
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless XYZTech and its affiliates, directors, officers, employees, contractors, licensors, and service providers from claims, damages, liabilities, losses, and expenses arising out of or related to Your Content, your use of XYZFile, your violation of these Terms, or your violation of any law or third-party right.
18. Termination
You may stop using XYZFile at any time. We may suspend or terminate your right to use XYZFile if you violate these Terms or if continued use would create legal, security, or technical risk. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, and indemnity.
19. Changes to These Terms
We may update these Terms when we change XYZFile or when legal, technical, or business requirements change. The updated version will be identified by the “Last updated” date above. Your continued use of XYZFile after changes become effective means you accept the updated Terms.
